Most state filings price themselves in pieces — one fee for the Articles, another for an expedited option, a third for a certificate of good standing, and an annual report on top. The list below is what actually hits your card (or the state's portal) when you form a Washington LLC with us.

Year one

  • Form LLC service fee — $299 flat. Covers Certificate of Formation, federal EIN, custom operating agreement, and one year of registered agent service in Washington.
  • Washington state filing fee — $200. Paid directly to the Washington Secretary of State at time of filing. Non-refundable once submitted.
  • First-year total — $499. That's every dollar required to form a Washington LLC with a stamped certificate, EIN, and a bank-ready operating agreement in hand.
Washington note

Washington imposes a Business & Occupation (B&O) tax on gross receipts, not net income. Most LLCs pay between 0.471% and 1.5% of gross revenue depending on business classification. This is in addition to the $60 annual report due on the anniversary month, and applies even to businesses operating at a loss.

What happens after year one

Washington annual report: $70 due every year. Miss it and the state imposes a late fee, and eventually administrative dissolution.

Washington tax notes: Filing fee: $180 + $20 processing fee = $200. Annual report recently increased to $70 (was $60). Same-day service $150 per entity. Washington has a Business & Occupation (B&O) Tax on gross receipts. No state income tax.

Registered agent service is $119/year after the included first year. It's optional — you can designate yourself, an employee, or a different commercial agent at any time by filing a change-of-agent form with the Washington Secretary of State.

What the $299 is not

The $299 is a flat service fee. It is not:

  • A legal fee. Form LLC is a document filing service, not a law firm. If you need legal advice on your operating agreement or liability exposure, talk to a Washington attorney.
