The full breakdown

Most state filings price themselves in pieces — one fee for the Articles, another for an expedited option, a third for a certificate of good standing, and an annual report on top. The list below is what actually hits your card (or the state's portal) when you form an Ohio LLC with us.

Year one

  • Form LLC service fee — $299 flat. Covers Articles of Organization, federal EIN, custom operating agreement, and one year of statutory agent service in Ohio.
  • Ohio state filing fee — $99. Paid directly to the Ohio Secretary of State at time of filing. Non-refundable once submitted.
  • First-year total — $398. That's every dollar required to form an Ohio LLC with a stamped certificate, EIN, and a bank-ready operating agreement in hand.
Ohio note

Ohio does not require an annual report or annual fee for LLCs. Once the Articles of Organization are approved, there is no recurring state-level filing with the Secretary of State. You still have federal tax obligations and state Commercial Activity Tax above the gross-receipts threshold, but the SOS side is one-and-done.

What happens after year one

No Ohio annual report or state renewal fee. Once formed, there is no recurring Secretary of State filing. You still have federal and state tax obligations as applicable.

Ohio tax notes: No annual report, no franchise tax, no recurring fees. One-time $99 filing fee only. Ohio Commercial Activity Tax (CAT) applies to businesses with gross receipts over $150,000.

Statutory agent service is $119/year after the included first year. It's optional — you can designate yourself, an employee, or a different commercial agent at any time by filing a change-of-agent form with the Ohio Secretary of State.

What the $299 is not

The $299 is a flat service fee. It is not:

  • A legal fee. Form LLC is a document filing service, not a law firm. If you need legal advice on your operating agreement or liability exposure, talk to an Ohio attorney.
  • A tax fee. We prepare your EIN application and deliver the IRS confirmation, but we do not prepare tax returns.
  • A tiered price. There is no "basic" or "premium" — the same $299 gets every customer the same four things. No upsells at checkout.
