Tennessee's annual report fee is calculated by member count: $300 minimum for six or fewer members, plus $50 for each additional member, capped at $3,000. The annual report is due on the first day of the fourth month after fiscal year end (April 1 for calendar-year filers). Tennessee also levies a 6.5% franchise and excise tax on LLCs taxed as corporations.

What happens after year one

Tennessee annual report: $300 due every year. Miss it and the state imposes a late fee, and eventually administrative dissolution.

Tennessee tax notes: Effective July 1, 2025: flat $300 annual report fee regardless of member count (previously $50/member, min $300, max $3,000). Formation fee is also $300 flat (was $50/member). Franchise tax: $0.25 per $100 of net worth (combined F&E minimum $300). Excise tax: 6.5% of net earnings.

Registered agent service is $119/year after the included first year. It's optional — you can designate yourself, an employee, or a different commercial agent at any time by filing a change-of-agent form with the Tennessee Division of Business Services.

What the $299 is not
