Pennsylvania note

Pennsylvania replaced its Decennial Report with an annual report in 2025. Beginning with 2025, every Pennsylvania LLC files a $7 annual report due by September 30. Failure to file eventually leads to administrative dissolution, though the state provides a six-month grace window before taking action.

What happens after year one

Pennsylvania annual report: $7 due every year. Miss it and the state imposes a late fee, and eventually administrative dissolution.

Pennsylvania tax notes: NEW: Annual report requirement began January 1, 2025 (replaced former 10-year Decennial Report). Only $7/year. Due September 30. Grace period through 2026 (no dissolution for non-filing). Previously required $70 Certificate of Annual Registration for some entities.

Registered agent service is $119/year after the included first year. It's optional — you can designate yourself, an employee, or a different commercial agent at any time by filing a change-of-agent form with the PA Bureau of Corporations.

What the $299 is not

The $299 is a flat service fee. It is not:

  • A legal fee. Form LLC is a document filing service, not a law firm. If you need legal advice on your operating agreement or liability exposure, talk to a Pennsylvania attorney.
  • A tax fee. We prepare your EIN application and deliver the IRS confirmation, but we do not prepare tax returns.
