The full breakdown

Most state filings price themselves in pieces — one fee for the Articles, another for an expedited option, a third for a certificate of good standing, and an annual report on top. The list below is what actually hits your card (or the state's portal) when you form a New Mexico LLC with us.

Year one

  • Form LLC service fee — $299 flat. Covers Articles of Organization, federal EIN, custom operating agreement, and one year of registered agent service in New Mexico.
  • New Mexico state filing fee — $50. Paid directly to the New Mexico Secretary of State at time of filing. Non-refundable once submitted.
  • First-year total — $349. That's every dollar required to form a New Mexico LLC with a stamped certificate, EIN, and a bank-ready operating agreement in hand.

What happens after year one

No New Mexico annual report or state renewal fee. Once formed, there is no recurring Secretary of State filing. You still have federal and state tax obligations as applicable.

New Mexico tax notes: No annual report required. No franchise tax. Online filing now mandatory as of December 2024 (paper no longer accepted). One of the most affordable and maintenance-free states for LLCs.

Registered agent service is $119/year after the included first year. It's optional — you can designate yourself, an employee, or a different commercial agent at any time by filing a change-of-agent form with the New Mexico Secretary of State.

What the $299 is not

The $299 is a flat service fee. It is not:

  • A legal fee. Form LLC is a document filing service, not a law firm. If you need legal advice on your operating agreement or liability exposure, talk to a New Mexico attorney.
  • A tax fee. We prepare your EIN application and deliver the IRS confirmation, but we do not prepare tax returns.
  • A tiered price. There is no "basic" or "premium" — the same $299 gets every customer the same four things. No upsells at checkout.
