The full breakdown

Most state filings price themselves in pieces — one fee for the Articles, another for an expedited option, a third for a certificate of good standing, and an annual report on top. The list below is what actually hits your card (or the state's portal) when you form a Nebraska LLC with us.

Year one

  • Form LLC service fee — $299 flat. Covers Certificate of Organization, federal EIN, custom operating agreement, and one year of registered agent service in Nebraska.
  • Nebraska state filing fee — $100. Paid directly to the Nebraska Secretary of State at time of filing. Non-refundable once submitted.
  • First-year total — $399. That's every dollar required to form a Nebraska LLC with a stamped certificate, EIN, and a bank-ready operating agreement in hand.
Nebraska note

Nebraska requires publication of a Notice of Organization in a legal newspaper of general circulation in the county of the registered office, for three consecutive weeks. An affidavit of publication must then be filed with the Secretary of State. Failure to publish does not void the LLC, but is a statutory requirement.

What happens after year one

Nebraska biennial report: $13 every two years.

Nebraska tax notes: Biennial report: $13 filed online. Due between January 1 and April 1 in odd-numbered years (based on formation year). $100 online filing, $110 by mail.

Registered agent service is $119/year after the included first year. It's optional — you can designate yourself, an employee, or a different commercial agent at any time by filing a change-of-agent form with the Nebraska Secretary of State.

What the $299 is not

The $299 is a flat service fee. It is not:

  • A legal fee. Form LLC is a document filing service, not a law firm. If you need legal advice on your operating agreement or liability exposure, talk to a Nebraska attorney.
  • A tax fee. We prepare your EIN application and deliver the IRS confirmation, but we do not prepare tax returns.
  • A tiered price. There is no "basic" or "premium" — the same $299 gets every customer the same four things. No upsells at checkout.
