The full breakdown

Most state filings price themselves in pieces — one fee for the Articles, another for an expedited option, a third for a certificate of good standing, and an annual report on top. The list below is what actually hits your card (or the state's portal) when you form a Hawaii LLC with us.

Year one

  • Form LLC service fee — $299 flat. Covers Articles of Organization, federal EIN, custom operating agreement, and one year of registered agent service in Hawaii.
  • Hawaii state filing fee — $51. Paid directly to the Hawaii DCCA, Business Registration at time of filing. Non-refundable once submitted.
  • First-year total — $350. That's every dollar required to form a Hawaii LLC with a stamped certificate, EIN, and a bank-ready operating agreement in hand.
Hawaii note

Hawaii's General Excise Tax (GET) applies to gross business income at 4% (4.5% on Oahu), making it one of the more complex tax environments for a small LLC. It is not a sales tax — it is levied on the seller, not the buyer, and applies to essentially all business receipts. The annual report fee is $15 and is due on the quarter of formation.

What happens after year one

Hawaii annual report: $15 due every year. Miss it and the state imposes a late fee, and eventually administrative dissolution.

Hawaii tax notes: Filing fee is $50 + $1 State Archives fee = $51. Annual report $12.50 online or $15 by mail. Hawaii has a General Excise Tax (GET) of 4% (4.5% on Oahu) that applies to all business income.

Registered agent service is $119/year after the included first year. It's optional — you can designate yourself, an employee, or a different commercial agent at any time by filing a change-of-agent form with the Hawaii DCCA, Business Registration.

What the $299 is not

The $299 is a flat service fee. It is not:

  • A legal fee. Form LLC is a document filing service, not a law firm. If you need legal advice on your operating agreement or liability exposure, talk to a Hawaii attorney.
  • A tax fee. We prepare your EIN application and deliver the IRS confirmation, but we do not prepare tax returns.
  • A tiered price. There is no "basic" or "premium" — the same $299 gets every customer the same four things. No upsells at checkout.
