The Alabama annual report

Alabama requires every LLC to file a annual report with the Alabama Secretary of State. The report confirms basic information — LLC name, principal office address, registered agent, members or managers — and pays a $50 state fee.

Filing is online through the Alabama Secretary of State's portal at sos.alabama.gov. It typically takes less than ten minutes and is processed the same day.

Alabama note

Alabama requires a Business Privilege Tax return every year, due April 15, with a minimum tax of $50. The entity annual report is filed together with the privilege tax return rather than separately through the Secretary of State. Miss the April 15 deadline and the state imposes penalties plus interest on the unpaid tax.

What happens if you miss it

Alabama doesn't forgive late reports indefinitely. The typical sequence when a report isn't filed on time:

  1. I.

    Late fee added

    The Alabama Secretary of State assesses a state-imposed late fee, typically within 30 days of the missed deadline.

  2. II.

    "Not in good standing" status

    Your LLC's public status changes from "active" to "not in good standing" or the Alabama equivalent. Banks, vendors, and counterparties can see this.

  3. III.

    Administrative dissolution

    If the lapse continues (usually 60–180 days, varies by state), the Alabama Secretary of State administratively dissolves the LLC. Your liability shield can be pierced for activities during the dissolved period.

  4. IV.

    Reinstatement

    To bring the LLC back, you pay the missed report fee, the late fee, and an Alabama reinstatement fee. The LLC comes back but the gap in good standing remains on the public record.
